Service and pilot terms
The Hallo Späti pilot is for independent shop owners in Munich. These terms describe the paid B2B service offered; an individual partner agreement is concluded before the start.

1. Provider and agreement
The provider is R&R Spiele UG (haftungsbeschränkt), Emeranstraße 23, 85622 Feldkirchen, Germany, represented by Rieke du Toit. Phone contact, Roux: +49 162 785 0608.
The service is offered to business owners for their business activities. Visiting this website or making an enquiry does not create a partner agreement. Before the start, the location, service scope, approvals, payout basis and other details are agreed individually. An individual agreement takes precedence where it differs.
2. Our service
- Assess whether the shop, assortment and routines are suitable for the planned delivery channel.
- Support Uber Eats onboarding and prepare the product catalogue, including descriptions and suitable licensed or lawfully merchant-provided photographs.
- Set up the tablet workflow and train the team.
- Maintain the catalogue, opening hours and presentation with the required merchant approvals.
- Run only approved promotions and review performance weekly.
- Discuss platform terms on behalf of participating partners within the agreed scope.
We start with Uber Eats. Wolt will be evaluated as a possible additional channel after the pilot review. Admission, availability and precise listing arrangements also depend on the platform. There is no assurance that Uber Eats or Wolt supports Hallo Späti or will approve a particular branding arrangement.
3. The shop’s responsibilities
The shop provides current product information and independently decides its assortment, retail prices, opening hours and promotions. Its team accepts orders, picks products, packs and hands orders to couriers. Unavailable items and possible alternatives are managed manually through the tablet’s native tools. Automatic point-of-sale or stock integration is not planned for this pilot.
The shop remains responsible for its goods, accurate product information, required labelling, legal sales restrictions and proper handling of its orders.
4. Merchant account, sales and payouts
The shop owns its platform merchant account and remains the seller to customers. The platform pays the shop directly. Roux receives expressly authorised manager access for the agreed work; account ownership is not transferred and passwords are not shared.
The shop’s platform agreement is separate from our service. The scope and end of our access, and the handling of data, are established separately before the start.
5. Fee and monthly invoice
Our fee is 10% of the actual agreed eligible Uber payout after Uber’s fees have been deducted. VAT is included in this 10%. The fee also applies during the 30-day pilot.
The platform pays the shop directly. R&R Spiele UG (haftungsbeschränkt) invoices the shop monthly for our fee.
Example: an agreed eligible Uber payout of €1,000 produces a fee of €100 including VAT. This is fee arithmetic only, not a promise of revenue, payout or profit.
The payout basis is specified in the partner agreement, particularly the handling of adjustments, refunds, subsidies and other payout components. Any hardware or advertising costs and their approval are agreed individually beforehand. A free tablet or committed advertising budget is not part of this website’s offer. Participation alone does not authorise an additional advertising budget.
6. Start, duration and review
The Munich corner-shop pilot is intended for three independent shops. Each pilot runs for 30 days from activation of that shop’s listing. Preparation before activation is not part of those 30 days.
At the end, results, team workload and financial contribution are reviewed together. The pilot does not renew automatically. Continuation and its terms require a deliberate agreement. The individual partner agreement establishes how early termination, extended platform interruptions and outstanding invoices are handled. Statutory rights to terminate for cause remain unaffected.
7. Brand and independence
The intended shared consumer brand is Hallo Späti, with separate listings for actual locations, for example “Hallo Späti – [neighbourhood]”. The actual merchant must remain clearly identifiable. A common core catalogue and image structure does not mean common retail prices.
Each shop independently decides its prices and promotions. Independent competitors’ future retail prices are not coordinated, and identifiable margins of other shops are not shared. Brand, image and usage rights are cleared before use. The precise listing arrangement needs merchant and platform agreement.
8. Limits and responsibility
This is a management service. Order volumes, additional revenue, profit, specific delivery times and better platform rates are not guaranteed. Improved terms are a negotiation objective. Opening hours are set by the shop; 24-hour operation is neither promised nor required.
Statutory liability rules apply unless an effective provision is made in the partner agreement. This website does not exclude any legally mandatory liability.
9. Privacy and changes
The privacy notice covers the information website and enquiries. Before operational work begins, privacy roles, data access and any necessary agreements are established for the specific management service.
Changing this website does not automatically change an existing partner agreement. Changes to agreed services or terms require an appropriate agreement.

This offer is exclusively for business owners acting for their business; a consumer withdrawal notice is not part of the pilot.
